A SAMPLE OF THE DISTRIBUTOR (Distrb)  AGREEMENT

3.1       This Agreement is effective as of the date by the signatures which execute this agreement where indicated and, will not automatically renew on the anniversary of that Effective Date, unless the distributorship fees are paid and current as described herein and; that this Agreement is not terminated in accordance with any part of the terms set forth in section 3 and/or any other term in it’s sub-paragraphs.  Upon signing this agreement the Distributor shall deliver to the Owner, the amount of 100,000 dollar irrevocable letter of credit from the Distributor to the favor of the Owner and will remain valid and in favor of the Owner for the complete term of this agreement and forfeited to Owner for any breach as one of many actions by the Owner; the Distrb will lease equipment shown in the Exhibit “C” for the term of this agreement in the amount of 8,500 dollars per month, with two months lease due at signing in the amount of 17,000 dollar and; 15,000 dollar for start up advertising of Distributor’s Clinic due at signing and; 7,000 dollar per month for advertising each month thereafter increasing with increased sales per a general Projection of Financial Activity created by the Owner, to be furnished along with this agreement. If the Distrb’s net income has not maintained average growth in the exclusive opinion of the Owner within the first 3 months or for any month thereafter, the advertising budget will increase to 10,000 dollar per month or 12-percent of gross, which ever is higher. There are no products or overhead included in any of the money described above and, training is provided as outlined further on; but not included in the above. The type and amount of equipment are in the Exhibits attached and is for the operation of an Anti-Aging Clinic that will have a minimum of two treatment rooms and one combination testing and photo room, along with a business office large enough to double as a sales area; there will be an additional area for a waiting room, all to be provided by the Distributor in addition to the above. A Distributor product price list will be furnished with this contract for the purchase of Owner’s product’s, which may change from time to time. The retail price to the client, patient or person’s purchasing product will often be two times the cost.

4.5       Owner agrees to train Distrb for all Owner products, services, and instruct the use of equipment as well as daily business operations of a Clinic in the span of 4 consecutive weeks, at Owner’s chosen location in Florida, USA and any training after that, Distrb will be negotiated with Owner. The training of the Distributor and Distributor’s staff as provided in this agreement, will not have a one lump charge. Management educational assistance for Distributor’s Clinic will be on going at Owner's schedule for the first year. If in the sol opinion of the Owner, the Distributor is not abusing the Owner's time, there will be no charge for this participation from Owner. Hard work on the part of the Distributor will not go un-noticed.
